Terms of Service (Beta)

Welcome to Cortex by Oryxa Technologies. These terms govern your participation in the private beta program. Because Cortex acts as an autonomous operations engine, these terms strictly enforce the boundaries of our liability.
1. The Beta Program Constraints
Cortex is currently in a Private Beta phase. This means the software is actively under development. While we utilize durable execution (Temporal) and strict Database isolation (PostgreSQL RLS), you acknowledge that:
- The system may encounter unknown edge cases requiring human intervention.
- API connections to third-party services (Shopify, Meta, external suppliers) may change or experience downtime outside of our control.
- Feature sets, integrations, and operational capabilities are subject to rapid change.
2. "Human-in-the-Loop" Requirements
Cortex executes actions autonomously based on rules and learned context. However, for critical functions (e.g., issuing Purchase Orders above a configured threshold, or fulfilling massive anomalous orders), the system is designed to escalate to an authorized human via messaging (WhatsApp/Telegram/Slack) for explicit approval.
It is your responsibility to maintain active, monitored communication channels for these approvals. Oryxa Technologies is not liable for operational delays caused by ignored or missed escalation requests from the system.
3. Limitation of Liability
Cortex is a tool that executes the operational intent you configure. You are solely responsible for the configuration of automation rules, approval thresholds, and supplier relationships.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORYXA TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF CORTEX.
4. Termination of Beta Access
Oryxa Technologies reserves the right to suspend or terminate your beta access at any time, for any reason, including but not limited to abuse of the system, violations of integration partner terms (e.g., Shopify API limits), or the conclusion of the beta phase.
5. Governing Law
These terms shall be governed by the laws of our operating jurisdiction, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the agreed upon venue stated in your enterprise agreement.
